Corporate Law

Drache Aptowitzer LLP is one of Canada’s leading law firms in the area of not-for-profit and charity law. Our practice includes helping you create and maintain a federal or provincial not-for-profit corporation.

We believe that your lawyer should provide more than just dependable legal advice; your lawyer must also provide quality client service. This means giving you the best value for the work we do for you. We are committed to ensuring that each client receives responsive, creative, solution oriented and cost-effective legal services.

If you are thinking of setting up a not-for-profit corporation or making changes to an existing one, our experienced lawyers can help you every step of the way.

Here are just some of the things we can help you with:

  • Incorporating (federal or provincial)
  • Constructing by-laws
  • Conducting meetings
  • Operating in other provinces
  • Moving between corporate acts
  • Continuance to the New Federal Act

If your federal not-for-profit corporation was established before October 2011, you need to proactively ‘continue’ it to the new Canada Not-for-profit Corporations Act that has replaced the old legislation. The deadline to complete this process is October 17, 2014. If you miss the deadline your corporation faces dissolution and, if it’s a charity, loss of registered charity status.

Drache Aptowitzer LLP is experienced in federal continuances and can assist you at every stage of the process. We recommend beginning as soon as possible in order to meet the deadline, because the process can become quite protracted.
